      为保证甲乙双方在业务活动中坚持守法、公平和诚信原则，防止各种违法违纪行为的发生，维 护双方的合法权益，根据《中华人民共和国合同法》等有关法律法规和中纪委、中监委关于廉政建 设方面的规定，经双方协商一致，特签订本协议。

      In order to guarantee the principles of legislation, fairness and honesty in the business operations of both Party A and Party B to avoid the violation of laws and regulations and protect the legal rights of both parties, the two parties agree to conclude the agreement in accordance with laws and regulations such as the “Law of the People’s Republic of China on Employment Contracts”, as well as regulations of anti-corruption construction of Central Commission of Discipline and Central Vigilance Commission.

      一、 双方企业领导，应对各自业务人员进行经常性的廉政教育，努力提高他们遵纪守法、廉洁自律 的意识和“以质量求生存、以信誉求市场、以廉政促发展”的意识。

      Leaders of Party A and Party B should carry through frequent anti-corruption education of their business personnel to elevate their awareness of legislation, regulation, anti-corruption and self-discipline, as well as the conception of “strive for survival on the basis of quality, strive for market on the basis of credibility, and strive for development on the basis of ant-corruption”.

      二、  甲方及其业务人员不得利用职权或职务之便索取或收受乙方财物，以及其他不正当利益。

      Party A and its business personnel should not make use of the authority or duty convenience to ask for or accept money or properties from Party B, as well as other inappropriate profits.                                     

      三、  甲方及其业务人员不得向乙方报销应由甲方或甲方业务人员个人支付的费用。

      Party A and its business personnel should not apply for reimbursement of expenses that should be paid by Party A or its business personnel from Party B. 

      四、  甲方业务人员不得向乙方索取礼品（包括礼物、礼金、有价证券等）；对乙方赠送的礼品，应 婉言谢绝，难以拒收的，要及时上交公司纪检监察部门。

      Business personnel of Party A should not ask for gifts (including presents, money and marketable securities) from Party B; the gifts bestowed by Party B should be declined, and the gifts unable to be rejected should be timely turned in to the discipline inspection department of the company.

      五、  甲方业务人员不得借用乙方的交通工具、通讯工具和高档办公用品等及其他物品；不得要求 乙方对私人拥有的车辆进行装饰、维修、保养等。

      Business personnel of Party A should not borrow the transportation vehicles, communication tools, expensive office supplies and so on of Party B; and should not ask Party B to decorate, repair or maintain private vehicles.

      六、  甲方业务人员个人不得在乙方兼职、投资、参股或以其他名义，从乙方获取兼职工资、红利 及其他各种形式的报酬。

      Business individuals of Party A should not acquire part-time salary, bonus and other forms of payments from Party B in the name of part-time job, investment, equity participation or other means in Party B.

      七、  甲方业务人员不得要求乙方为其建造、装饰、维修私人住宅，不得接收乙方的其他变相资助。

       Business personnel of Party A should not ask Party B to build, decorate or maintain private housing, or accept other disguised financial supports from Party B.

      八、  乙方对本协议第二条至第九条禁止甲方及其业务人员之行为，不得主动为之。

      Party B should not initiate the behaviors forbidden for Party A and its business personnel from term Two to term Nine of the Agreement.

     九、  乙方应严格按照国家法律和双方签订的合同开展业务活动，不得为谋求乙方利益对甲方及其 业务人员行贿；对甲方业务人员索取财物的要求应予拒绝。

     Party B should implement business operations strictly in accordance with the laws and regulations of the country, as well as the contracts signed by both parties, and should not bribe Party A and its business personnel in pursuit of benefits of Party B; Party B should refuse the requests of business

      personnel of Party A for money or properties. 

      十、  乙方不得与甲方业务人员就合同的谈判、签订、履行及违约责任的追究等事项私下进行交涉， 以达成某种默契。

      Party B should not be involved with business personnel of Party A privately in terms of the negotiation, signing, implementation and liabilities for breach of contract to achieve certain privities.

      十一、乙方对甲方的让利应放在明处，不得以回扣、酬金、奖励等项目，将让利转给甲方业务人员。

       The interest concessions made to Party A by Party B should be transparent, and profits should not be transferred to the business personnel of Party A by means of brokerage, reward or incentive.

      十二、甲乙双方都应严格遵守本协议各项规定，甲方及其业务人员如有违反本协议，乙方应向甲方 或甲方上级举报，甲方不得对乙方进行报复。甲方应根据违规业务人员情节轻重及后果严重 程度，给予警告，记大过，调离工作岗位或者开除，如损害甲方经济利益或者触犯法律的， 移送司法部门追究其法律责任。乙方违反本协议的，甲方有权终止经济合同的履行，由于乙 方违约使甲方造成的经济损失，乙方应负全额赔偿责任。

      Party A and Party B should both strictly abide by all the provisions of this Agreement. If Party A or its business personnel breach the Agreement, Party B should denounce such behavior to Party A or its superior, and Party A should not retaliate. Party A shall give warning, record serious mistakes, remove from work or dismiss according to the seriousness of the circumstances and consequences of violating the rules and regulations of the business personnel. If it harms Party A's economic interests or violates the law, it shall be transferred to the judicial department to investigate its legal liability.  If Party B breaches the Agreement, Party A has the right to terminate the implementation of the economic contract, , and Party B should pay for all the economic loss caused to Party A by the breach of Party B.

      十三、乙方自愿承诺完全认可甲方编制的本“廉政协议”的所有条款。 

      Party B undertakes voluntarily to fully recognize all the provisions of this "Anti-corruption 

      Agreement" prepared by Party A.

      十四、本协议作为主合同附件，与主合同有同等效力。

      This Agreement shall form an integral part of the main contract, and bears the same validity of the main contract.

      十五、本协议一式两份，甲乙双方各执一份。

      This Agreement is made in two copies; one for each Party .                          

      十六、本协议自甲乙双方盖章后生效。

      The effective date of the Agreement shall start from the signature date by both parties

      缔约双方应该保证不披露任何信息、知识或者在本合作期间以书面、口头或者任何其它方式 从其它缔约方收到的任何第三方的经验，以及其它缔约方通知的内涵、问题及解决办法；上 述承诺应该超出本协定的期限。

      Both contracting parties shall undertake not to disclose any information, knowledge or experience to any third party received from the other contracting party in writing, verbally  or in any other way during the course of the present collaboration, together with the intensions, problems and solving solutions notified by the other contracting party; the aforesaid undertaking shall extend beyond the period of the present Agreement.

      本承诺不适用于可证明已广为人知、或在不违反本协定的晚些时候已广为人知的文件、知识 和信息，或可证明在收到文件、知识和信息之前已为接收缔约方所知的文件、知识和信息。 在不违反本协议的情况下，在稍后日期向其他缔约方知悉的。

      The present commitment shall not apply to documents, knowledge and information which can be proved to have become generally known or which become generally known at a later date without breaching the present Agreement or which can be proved to have been known to the receiving contracting party prior to receipt of the documents, knowledge and information or which become known to the other contracting party at a later date without breaching the present Agreement.                                    

      与缔约方有联系的集团公司，如果受一方当事人的多数控制，并且以与缔约方相同的方 式承诺保密，则不得成为本协议意义上的第三方。

      Group companies affiliated with the contracting parties shall not be third parties within the meaning of the present Agreement if they are subject to the majority control of one of the contracting parties and if they are committed to confidentiality in the same way as the contracting parties.

      缔约双方应该充分尊重对方的创造性技术或者专利技术，不可通过任何口头、书面、图片以 及移动通讯工具的形式透露给任何第三方。凡涉及到创造性技术或者专利技术的应用，创造 性技术或者专利技术的拥有方在创造性技术或者专利技术的生命时期内具有完整的法律上与 经济上的主动权，另一方需要遵守。

      The Contracting Parties shall fully respect each other's creative or patented technology and shall not disclose it to any third party in the form of any oral, written, photographic or mobile communication tools. Where the application of creative technology or patented technology is involved, the owner of creative technology or patented technology has complete legal and economic initiative in the lifetime of creative technology or patented technology, and the other party needs to abide by it.

      本保密承诺在缔约双方终止合作后的 3 年内在通知文件、知识、信息和创新技术或者专利技 术方面依旧具有保密效应，3 年之外保密效应自行终止。

      This confidentiality undertaking still has confidential effect on notification documents, knowledge, information and innovative technology or patented technology within three years after the termination of cooperation between the contracting parties, and the confidentiality effect will cease on its own after three years

      本协议自甲乙双方盖章后生效。
